Election of Officers

The elected officers of Tumet’s Board of Advisors shall be a Chairperson, a Vice Chairperson, a Secretary, and a Treasurer.

The elected officers of Tumet shall be chosen annually at the first Board meeting held during the calendar year. If the election of officers shall not be held at such meeting, such election shall be held as soon thereafter as conveniently may be arranged. Each officer shall hold office until his/her successor is duly elected and qualified.

Authorities of Officers

The Tumet Board shall, by secret ballot, select regular members of the Tumet Board to serve in the following capacities.

  • Chairperson
The Chairperson shall in general, supervise the General Manager. He/she shall preside at all meetings of the Board. He/she may sign, with the Secretary or any other proper officer of the corporation authorized by the Board, any deeds, mortgages, bonds, contracts or other instruments which the Board has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board to some other officer or agent of the Company; and in general he/she shall perform duties incident to the Office of Chairperson and such other duties as may be prescribed by the Board from time to time.
  • Vice Chairperson
In the absence of the Chairperson or in the event of his/her inability or refusal to act, the Vice Chairperson shall perform the duties of Chairperson, and when so acting, shall have all the powers of and be subject to all restrictions upon the Chairperson. The Vice Chairperson shall perform such other duties as from time to time may be assigned to him/her by the Chairperson or the Board.
  • Treasurer
The Treasurer shall be responsible for ensuring that accurate financial records are kept in compliance with Generally Accepted Accounting Principles. Ensure that appropriate reports of all accounts are made and summary reports are presented at meetings of the Tumet Board. Be responsible for reviewing all audit documents prior to audit. Review draft budget and financial reports before presentation to the Tumet Board. Work with the General Manager to identify and vet possible auditors for consideration by the Tumet Board. In general, perform all the duties incident to the office of Treasurer and such other duties that from time to time may be assigned to him/her by the Tumet Chairperson or the Board. At the expiration of his/her term of office, the Treasurer shall turn over all records and papers relating to Tumet business to his/her successor.
  • Secretary
The Secretary shall, in general, perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him/her by the Chairperson of the Board or by the Board. Duties of the Secretary may be delegated by the Board to the staff, except that the duty of certifying formal documents of the Board may not be delegated.
